Effective date: September 14, 2026
Applies to: newblood.com and the software New Blood, Inc. makes available, including the “Software and integrations” license below
These Terms of Service are an agreement between you and New Blood, Inc., a web design and development consultancy owned by Jeremy Oms (“New Blood”, “we”, “us”). They govern your use of newblood.com and of any software New Blood provides or operates, including our internal tools and their integrations with third-party services. If you use this site or that software, you accept these terms. If you do not accept them, please do not use the site.
Use of this site
You may read this site, share links to it, and contact us through it. You agree not to use it to break the law, to interfere with its operation, to attempt to gain access to parts of it you were not given access to, to scrape it in a way that burdens the server, or to submit anything false, abusive, or infringing through its forms.
Some pages are reachable only by a link we send you, such as a discovery questionnaire at newblood.com/discovery/. Those links are for the person or business they were sent to. Please do not pass them on.
We may change, suspend, or remove any part of this site at any time. We may end your access to it if you use it in a way these terms prohibit.
Intellectual property
Everything on this site, including its text, design, layout, code, illustrations, diagrams, photographs, and the New Blood name and logo, is owned by New Blood, Inc. or used with permission, and is protected by copyright and trademark law. You may quote short excerpts with attribution and a link. You may not copy the site’s design or substantial portions of its content, or present our case studies or written work as your own.
Client names, logos, and screenshots appearing in our case studies belong to those clients and are shown to describe work we performed.
If you send us an idea, a question, or feedback through this site, you give us permission to use it to improve our services. Nothing you submit through the public site is treated as confidential unless we have a written agreement that says so. Confidential information shared inside a client engagement is governed by that engagement’s agreement, not by this page.
Client work is governed by its own agreement
Prices, packages, timelines, and service descriptions published on this site are informational. They are not an offer and they are not a contract. Work New Blood performs for a client is governed by the proposal, statement of work, or service agreement signed for that engagement, including its own terms on ownership of deliverables, payment, and termination. Where such an agreement conflicts with this page, that agreement controls for that engagement.
Software and integrations
This section is the license that applies to software New Blood provides or operates, including internal tools that connect to third-party services such as Intuit QuickBooks Online. It is the end user license agreement for that software.
License grant. Subject to these terms, New Blood grants a limited, non-exclusive, non-transferable, revocable license to use its software solely for its intended internal business purpose, and only to the people New Blood authorizes. The software is licensed, not sold. New Blood and its licensors retain all right, title, and interest in it.
Internal use only. New Blood’s operational tools, including the QuickBooks Online integration known as New Blood Billing, are built for New Blood’s own business. They are not sold, published, resold, or offered to the public, and they are used only by New Blood personnel on New Blood’s own accounts.
What the QuickBooks integration does. New Blood Billing connects to New Blood’s own QuickBooks Online company through Intuit’s official API. It reads and writes New Blood’s own accounting data: customers, service items, time entries, and invoices. It exists so that billable work is recorded accurately and invoiced on time. It does not access any other company’s QuickBooks data.
Credentials and data handling. The client credentials and access tokens for that integration are stored only on equipment New Blood owns and controls, are not committed to any public repository, and are not shared with third parties. Data retrieved from QuickBooks Online is used only to run New Blood’s business. It is never sold, never shared for anyone else’s marketing, and never used to build a product. How we handle that data is described in our Privacy Policy. Authorization can be revoked at any time from New Blood’s Intuit account, which immediately ends the integration’s access.
Restrictions. You may not copy, modify, distribute, sell, sublicense, rent, or lease New Blood’s software, remove or alter its notices, reverse engineer or attempt to derive its source code except to the extent applicable law expressly permits, use it to store or transmit unlawful material, or use it to interfere with any third-party service or violate that service’s own terms.
Third-party services. Software we operate depends on third-party services, including Intuit QuickBooks Online, Stripe, Google, and our hosting and email providers. Your use of those services through our software is also subject to their own terms and privacy policies. We do not control those services and are not responsible for their availability, changes, or acts.
Termination. This license ends automatically if these terms are breached, and New Blood may end it at any time. On termination, use of the software must stop and any copies must be deleted.
No warranty
This site and any software described here are provided “as is” and “as available”, without warranty of any kind. To the fullest extent the law allows, New Blood disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the site or the software will be uninterrupted, timely, secure, or free of errors, or that any information on this site is complete or current. Nothing on this site is legal, financial, tax, or accounting advice.
Limitation of liability
To the fullest extent the law allows, New Blood, Inc. and its owner, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of this site or of software described here, whether the claim is based in contract, tort, or any other theory, and even if we were told such damages were possible.
For any claim relating to this site or to software provided under this page, our total liability will not exceed one hundred United States dollars (US $100), or, if you are a client, the amount you paid New Blood under the agreement giving rise to the claim during the twelve months before it arose, whichever is greater. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnity
You agree to defend and hold harmless New Blood, Inc. and its owner, employees, and contractors from claims, damages, and reasonable costs arising out of your misuse of this site or of software licensed under this page, or your violation of these terms or of any law or third-party right.
Governing law
These terms are governed by the laws of the State of California, United States, without regard to its conflict of laws rules. Any dispute arising out of these terms or your use of this site will be brought in the state or federal courts located in San Bernardino County, California, and you and New Blood each consent to the jurisdiction of those courts. If any provision of these terms is found unenforceable, the rest stays in effect.
Changes to these terms
We may update these terms. The current version always lives on this page, with the effective date at the top. Continuing to use the site after a change means you accept the updated terms.
